Revision Note: VE-EULA-1.4 adds a 72-hour Trial period. During the Trial, Build It may export processed .htt results. When the Trial expires, VE Optimizer continues in DEMO mode and Build It exports an unchanged copy of the input .htt until a valid purchased license is activated. A purchased license removes Trial/DEMO output restrictions.
1. Acceptance of Terms
These Software License and Terms of Use ("Terms") constitute an agreement between Stephen B. Schefer ("Licensor") and the individual accepting these Terms ("User").
By selecting the acceptance checkbox and clicking Accept and Continue, the User acknowledges that they have read, understood, and agree to be bound by these Terms.
If the User does not agree, the User must select Decline and may not use VE Optimizer.
Electronic acceptance of these Terms is intended to have the same effect as a written acceptance to the extent permitted by applicable law.
2. Ownership
VE Optimizer, including its software, source code, executable code, algorithms, neural-network processing methods, calculation methods, data-processing methods, user interface, graphics, reports, documentation, supporting materials, and associated intellectual property, is owned by Stephen B. Schefer.
VE Optimizer is protected by applicable United States copyright law and other applicable intellectual-property laws.
Access to or use of VE Optimizer does not transfer ownership of VE Optimizer or its intellectual property to the User.
3. License Grant
Subject to compliance with these Terms, Stephen B. Schefer grants the User a limited, non-exclusive, non-transferable, revocable license to use VE Optimizer for:
- Private use;
- Personal vehicle calibration and analysis;
- Commercial automotive calibration and analysis;
- Work performed on customer vehicles with the customer's authorization.
A licensed User may access their account and use VE Optimizer on multiple computers.
The User's account is licensed to that User and may not be shared, transferred, sold, sublicensed, or made available to another person without prior written authorization from Stephen B. Schefer.
4. Commercial Use
Commercial use of VE Optimizer for legitimate automotive tuning, calibration, consulting, diagnostics, or related services is permitted under this license.
Permission to use VE Optimizer commercially does not grant permission to:
- Resell VE Optimizer;
- Redistribute copies of VE Optimizer;
- Sell access to the software itself;
- Sublicense the software;
- Incorporate VE Optimizer or its proprietary technology into another software product or commercial service without written permission.
5. Prohibited Uses
Except where a restriction is prohibited by applicable law, the User may not:
- Copy or redistribute VE Optimizer except for reasonable backup or installation purposes associated with the User's licensed account;
- Sell, sublicense, lease, rent, publish, distribute, or commercially transfer VE Optimizer;
- Reverse engineer, decompile, disassemble, decode, or attempt to derive VE Optimizer source code;
- Attempt to discover, extract, reproduce, or appropriate proprietary algorithms, neural-network logic, training methods, calculation methods, or data-processing techniques for use outside VE Optimizer;
- Modify VE Optimizer for redistribution;
- Incorporate VE Optimizer or portions of it into another product or service without prior written permission;
- Circumvent authentication, licensing, access-control, or security mechanisms;
- Share account credentials with unauthorized users;
- Remove, alter, obscure, or bypass copyright, ownership, licensing, or attribution notices.
Requests for permission may be directed to ssg@shortshiftgarage.com.
6. Automotive Calibration Responsibility
VE Optimizer is an automotive calibration analysis and assistance tool.
Changes to vehicle calibration may affect, among other things:
- Engine operation;
- Transmission operation;
- Fueling;
- Emissions;
- Drivability;
- Reliability;
- Component life;
- Vehicle safety;
- Regulatory compliance.
The User is responsible for determining whether a calibration is suitable for the specific vehicle on which it will be used.
The User remains responsible for reviewing and validating all changes before applying them to a vehicle.
VE Optimizer does not replace the judgment of a qualified automotive tuning professional.
7. Modification-Specific Limitations
VE Optimizer may analyze vehicles equipped with aftermarket components including camshafts, throttle bodies, intake manifolds, cold-air intakes, headers, and other modifications.
Where the software identifies a modification as having limited support, VE Optimizer will only perform the calibration functions specifically supported by the software.
For supported camshaft applications, VE Optimizer may correct airflow and volumetric-efficiency effects associated with the camshaft. It does not represent that it will correct every other calibration parameter that may be required by a camshaft installation.
Similar limitations may apply to throttle bodies, intake manifolds, and other aftermarket components.
Unsupported or additional calibration requirements remain the responsibility of the User or a qualified tuning professional.
8. Vehicle and Customer Authorization
The User represents that they are authorized to access, analyze, or modify every vehicle, calibration file, Log File, or related data submitted to VE Optimizer.
For commercial work, the User is responsible for obtaining any authorization required from the vehicle owner or customer.
9. Data and Project Files
Vehicle information, Log Files, calibration files, project data, and other materials supplied by the User remain subject to the rights of their respective owners.
Outputs generated from those materials do not transfer ownership of VE Optimizer's underlying software, algorithms, methods, or intellectual property.
The User is responsible for maintaining appropriate backups of vehicle files, calibration files, and project data.
10. No Guarantee of Results
Calibration results may vary because of factors including:
- Vehicle mechanical condition;
- Existing calibration;
- Installed components;
- Fuel quality;
- Sensor accuracy;
- Logging configuration;
- Log File quality;
- Environmental conditions;
- Manufacturing tolerances;
- Measurement error;
- User actions.
Stephen B. Schefer does not guarantee any particular horsepower, torque, fuel-economy, emissions, drivability, reliability, or other performance result.
11. Disclaimer of Warranties
To the maximum extent permitted by applicable law, VE Optimizer is provided "AS IS" and "AS AVAILABLE."
No warranty is made, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, or uninterrupted operation.
Nothing in these Terms excludes any warranty or right that cannot legally be excluded.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Stephen B. Schefer shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to VE Optimizer or its use.
This includes, without limitation, claimed losses involving:
- Engines;
- Transmissions;
- Vehicles;
- Components;
- Property;
- Data;
- Business interruption;
- Revenue;
- Profits;
- Customer claims.
The User assumes responsibility for deciding whether to apply any calibration change produced, evaluated, displayed, or suggested by VE Optimizer.
Nothing in these Terms limits liability that cannot lawfully be limited under applicable law.
13. Account Use
A User may use one authorized account on multiple computers.
Account access is personal to the authorized User.
The User is responsible for maintaining the confidentiality of their account credentials and for activity performed through their account.
14. Updates and Changes
VE Optimizer may be updated, expanded, corrected, or modified over time.
Stephen B. Schefer may issue revised Terms with future versions of the software.
If a material change is made to these Terms, the User may be required to review and affirmatively accept the new version before continued use.
Prior acceptance of an earlier version does not automatically constitute acceptance of materially revised Terms.
15. Trial, DEMO, Purchase, and Activation
VE Optimizer provides a 72-hour Trial beginning with the first recorded installation of the software on the computer. During the active Trial, the User may create projects, process qualified logs, review calculated results, and use Build It to export the processed .htt result.
After 72 hours, if no valid purchased license is active, VE Optimizer automatically operates in DEMO mode. DEMO mode remains available for project creation, review processing, and displayed results, but Build It does not export processed calibration changes. The .htt file produced by Build It in DEMO mode is an exact copy of the current input .htt file.
The purchase price for VE Optimizer is $49.99 USD unless a different price is expressly offered by Stephen B. Schefer. Purchase and licensing questions may be directed to ssg@shortshiftgarage.com.
A valid purchased license removes Trial/DEMO output restrictions and enables Build It to export the processed .htt result without the 72-hour Trial limitation. Purchased license credentials remain subject to the personal-account and non-transferability provisions of these Terms. One authorized account may be used on multiple computers.
16. Refund Policy
VE Optimizer includes a 72-hour Trial followed by a non-expiring DEMO mode so users can evaluate compatibility, workflow, calculations, and displayed results before purchasing.
Refund requests must be made within 7 calendar days of purchase by contacting ssg@shortshiftgarage.com.
Refunds will normally be provided for:
- Duplicate or accidental duplicate payments;
- A license that cannot be activated and the problem cannot be resolved through reasonable support;
- A confirmed software defect that prevents VE Optimizer from functioning as represented and cannot be corrected;
- Any refund required by applicable law.
Because the Trial and DEMO modes are available before purchase, refunds are generally not provided for change of mind, vehicle incompatibility that could have been evaluated before purchase, or failure to meet hardware/software requirements after successful activation.
If a refund is issued, the associated VE Optimizer license is considered revoked and the customer must discontinue licensed use of the software.
17. Termination
The license granted under these Terms may terminate if the User materially violates these Terms.
Upon termination, the User must discontinue unauthorized use and distribution of VE Optimizer.
Termination does not transfer ownership of any VE Optimizer intellectual property to the User.
18. Governing Law
These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law principles.
Any legal proceeding arising from these Terms shall be subject to the jurisdiction of an appropriate state or federal court located in Nevada, except where applicable law requires otherwise.
19. Severability
If any provision of these Terms is found unenforceable or invalid, that provision shall be enforced to the maximum extent legally permitted, and the remaining provisions shall remain in effect.
20. No Waiver
Failure by Stephen B. Schefer to enforce a provision of these Terms does not constitute a permanent waiver of that provision or any other right.
21. Entire Agreement
These Terms constitute the agreement between Stephen B. Schefer and the User concerning the licensed use of VE Optimizer unless superseded by a separate written agreement authorized by Stephen B. Schefer.
22. Reservation of Rights
All rights not expressly granted under these Terms are reserved by Stephen B. Schefer.
